About the Course Instructor
Paul Goldman is the principal of Paul L. Goldman Law Corporation, offering focused independent legal advice to public companies in connection with sensitive corporate governance and crisis management issues.
Paul has four decades of experience as a senior corporate/securities counsel advising Canadian public companies, their Boards of Directors, special and independent committees, and senior executives in connection with internal investigations into allegations of corporate wrongdoing, governmental, regulatory and stock exchange enquiries and investigations, corporate judicial and arbitration proceedings, including class actions and high profile "bet the company" litigation. His practice has been highly international in scope, with particular experience in Canada/US cross-border matters and in emerging markets in Asia, Africa, and South America.
Paul has extensive experience in assisting clients with the development of best practices corporate governance policies, strategies and procedures in connection with risk management, focusing on identifying and assessing likely risks, contingency planning, and management operational preparedness. He has successfully assisted clients in overseeing sensitive governance matters and managing and mitigating corporate crises, including conflicts of interest; breach of fiduciary duty; director and senior officer misconduct; appropriation of corporate opportunity; anti-corruption matters involving bribery of foreign public officials and related accounting offences; whistleblower complaints; hostile takeover bids and proxy contests; controversial related party transactions; inadequate corporate policies, controls and procedures; delisting reviews; and a wide range of sensitive corporate disclosure-related matters, including corporate misrepresentations, financial misstatements, and mineral reserve misstatements.
