About the Course Chair 
Julia Kadow is the corporate services supervisor at Alexander Holburn Beaudin + Lang LLP. She is involved in the support document drafting for all of the major transaction matters for their clients including purchasing a business or assets, restructuring of corporate entities and incorporation of new entities.
She provides support for their Not-for-Profit/Society clients. She is the liaison for the Corporate Commercial practice with the BC Registrar of Companies and at Corporations Canada. She has also been a presenter for the Continuing Legal Education Society of BC seminars for both lawyers and other legal support staff. Julia also works with the lawyers to review and implement statutory changes that affect their business.
She also manages the corporate records department in regards to administrative matters and work distribution.

Julia has two Bachelor degrees from the University of BC: the first in History with a minor in International Relations, the second in Religious Studies with a minor in Classical Studies. Julia obtained her Paralegal Certificate from Capilano University in 2006.
She has worked in many industries including retail, restaurant and hospitality, and most recently, before joining the legal world, she worked for two years for one of the largest mining conglomerates in the world.

Faculty
Sarah Fitzpatrick is an associate in the Social impact group and practices in the areas of charities, not-for-profits, estate planning, and business law. She povides general advice to charities, not-for-profit organizations and trusts, and assists clients in realizing their estate planning goals.
Sarah counsels charities and not-for-profit clients on governance, regulatory compliance, and gift planning. She assists clients with general corporate legal matters including major business contracts, transactions, and restructuring. Sarah also has an active estates and trusts practice that includes estate planning, estate administration, and advice to trustees.
She is a current member of the exectuive of the CBA, Charities and Not-for-Profit Law Subsection.

Braden Lauer is an associate lawyer in Gowling WLG's business law group in Vancouver. His practice includes a unique blend of:

• corporate commercial work, M&A, sales of private businesses, corporate governance (incorporation, reorganization and dissolution of companies, and advice to shareholders, officers, and directors), specifically as these relate to the emerging sector in BC
• domestic and international franchising, licensing, and product distribution
• commercial real estate acquisition, disposition, and development

The common thread that ties together Braden's practice is passion and personable service. He is passionate about understanding his clients' needs, and finding solutions that are uniquely suited to each client.
Braden further applies his passionate and personable nature to assisting the various charities and not-for-profits clients of Gowling WLG in Vancouver. He has gained experience with not-for-profit board as a director and corporate governance committee member of the Vancouver International Children's Festival.

Prior to joining Gowling WLG, Braden worked as a legal intern with an in-house counsel at both a growing fintech company and a credit union central. Braden obtained his JD from the Peter A. Allard School of Law at the University of BC, and holds a bachelor of commerce with distinction from the University of Alberta.

Ayako Oki began her journey in business law in 1998 when joining Campney & Murphy and had her first exposure working as a paralegal at that firm. In 2003, she joined Fasken Martineau DuMoulin LLP, a leading international business law and litigation firm, as a paralegal in their Business Group. In addition to that role, she became Corporate Services Supervisor in 2012.

She has experience dealing with a wide variety of transactions relating to corporations under the Canada Business Corporations Act and the British Columbia Business Corporations Act, as well as extra provincial registrations across Canada. She has also worked extensively with not-for-profit corporations under the Canada Not-for-profit Corporations Act and societies under the British Columbia Societies Act.

Kaine Sparks, Deputy Registrar has worked with the Provincial Government for the last 5 years. Previously, with the Provincial Treasury in Banking Relations, overseeing the BC Governments' banking contracts and related legislation.
